1. Acceptance of Terms

By accessing or using the RoadReach website (www.roadreach.co.za) or any of our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our website or services.

These Terms constitute a legally binding agreement between you ("User", "Client", "Driver", "Advertiser") and RoadReach Media ("RoadReach", "we", "us", "our").

2. Definitions

• "Advertiser" — A brand, business, or individual that contracts RoadReach to display advertisements on vehicles.
• "Driver" — A vehicle owner who contracts with RoadReach to display advertisements on their vehicle.
• "Campaign" — A specific advertising arrangement between an Advertiser and RoadReach, specifying wrap type, fleet size, duration, and target areas.
• "Wrap" — The vinyl advertisement applied to a Driver's vehicle, including Lite (decal), Standard (half-wrap), or Premium (full-wrap) options.
• "Services" — All services provided by RoadReach, including but not limited to driver matching, wrap installation, campaign management, and reporting.

3. Advertiser Terms

3.1 Campaign Agreement

Each advertising campaign is governed by a separate Campaign Agreement (which may be in the form of a quotation, invoice, or signed contract) that specifies the wrap type, number of vehicles, campaign duration, monthly fees, installation costs, and any special requirements.

3.2 Payment Terms

• Monthly advertising fees are billed in advance and are due within 14 days of invoice date.
• Installation fees are billed upon confirmation of the campaign and are due before installation commences.
• Late payments may incur a 5% penalty per month on outstanding balances.
• RoadReach reserves the right to pause or terminate campaigns if payments are more than 14 days overdue.

3.3 Campaign Duration

The minimum campaign duration is 3 months unless otherwise agreed in writing. After the initial term, campaigns continue on a month-to-month basis until either party provides 30 days' written notice of termination.

3.4 Campaign Changes

Advertisers may request changes to their campaign (e.g., fleet size, wrap type, target areas) subject to availability and pricing adjustments. Changes must be submitted in writing and are effective from the next billing cycle.

3.5 Advertiser Warranties

Advertisers warrant that:

• All advertising content provided complies with South African laws and regulations, including the Advertising Regulatory Board (ARB) codes.
• They own or have the necessary rights to all trademarks, logos, and imagery provided for their campaign.
• Their products or services are legal and comply with all applicable laws.

4. Driver Terms

4.1 Eligibility

To become a RoadReach Driver, you must:

• Be a South African citizen or permanent resident.
• Be at least 18 years of age.
• Hold a valid South African driver's licence.
• Own a vehicle in good condition that meets our quality standards.
• Have valid vehicle registration and insurance.

4.2 Driver Obligations

• Keep the vehicle wrap clean and in good condition for the duration of the campaign.
• Not remove, alter, or tamper with the wrap.
• Drive the vehicle regularly (a minimum of 5 days per week) to ensure adequate exposure.
• Report any damage to the wrap immediately to RoadReach.
• Not use the vehicle for illegal activities while the wrap is displayed.
• Allow RoadReach or our installation partners to apply, inspect, and remove wraps as needed.

4.3 Driver Earnings

Driver earnings are based on the wrap type displayed and are paid monthly. Earnings are subject to applicable deductions (e.g., PAYE if applicable). Payment is made via EFT within 7 business days after the end of each month.

4.4 Driver Termination

Drivers may terminate their participation by providing 30 days' written notice. RoadReach may terminate a driver's participation immediately if the driver breaches these Terms or fails to meet their obligations.

5. Website Use

5.1 Acceptable Use

You agree to use our website only for lawful purposes and in a manner that does not infringe the rights of others or restrict their use of the site.

5.2 Prohibited Conduct

You may not:

• Use the website for any fraudulent or unlawful purpose.
• Attempt to gain unauthorised access to any part of the website or our systems.
• Introduce viruses, malware, or other harmful code.
• Scrape, copy, or reproduce content from the website without our written permission.
• Interfere with the proper functioning of the website.

5.3 Accuracy of Information

While we strive to keep information on our website accurate and up to date, we make no warranties regarding the completeness, accuracy, or reliability of any content. Pricing and availability are subject to change without notice.

6. Intellectual Property

All content on the RoadReach website, including but not limited to text, graphics, logos, images, and software, is the property of RoadReach Media or its licensors and is protected by South African and international copyright and trademark laws.

You may not reproduce, distribute, modify, or create derivative works from our content without our prior written consent.

The RoadReach name and logo are trademarks of RoadReach Media. All other trademarks appearing on our website are the property of their respective owners.

7. Limitation of Liability

To the maximum extent permitted by South African law:

• RoadReach shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our website or services.
• Our total liability for any claim arising from these Terms or our services shall not exceed the total fees paid by you in the 12 months preceding the claim.
• We are not responsible for the condition or safe driving of vehicles in our fleet — drivers remain responsible for their vehicles and driving conduct at all times.
• We do not guarantee specific business outcomes, sales, or ROI from advertising campaigns. Results vary based on numerous factors beyond our control.

8. Termination

RoadReach reserves the right to suspend or terminate access to our website or services at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, third parties, or our business interests.

Upon termination, your right to use our services ceases immediately. Terms relating to payment, intellectual property, limitation of liability, and governing law shall survive termination.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms shall first be attempted to be resolved through mediation. If mediation fails, the dispute shall be referred to the High Court of South Africa, Gauteng Division, Pretoria.

10. Amendments

We reserve the right to amend these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our website or services after changes constitutes acceptance of the updated Terms. We encourage you to review these Terms periodically.

11. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
